Jurisdictional Issues

This Agreement is governed by and shall be construed in accordance with the laws of the state of Texas without giving effect to any principles of conflicts of law. The parties have designated the Texas State Courts, Dallas County, Texas or, if original jurisdiction can be established, the United States District Court for the Northern District of Texas, Dallas Division, as the jurisdiction for any litigation arising in connection herewith. If any provision of this Agreement is unlawful, void, or unenforceable for any reason, then that provision shall be deemed severable from this Agreement and shall not affect the validity or enforceability of any remaining provisions. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and shall not be modified except in a writing signed by both parties.

What is an air carrier?

The term "air carrier" is defined in the Federal Aviation Act in 49 U.S.C. § 40102. In general, under federal aviation law, an air carrier means an entity that undertakes – either directly or indirectly – to provide interstate transportation for compensation as a common carrier. To be an "air carrier," an entity must have two separate government approvals: economic authority from the U.S. Department of Transportation ("DOT") and safety/operational authority from the Federal Aviation Administration ("FAA"). Air carriers must also be U.S. citizens.

The X-series programs are regulated by the FAA, and may be operated by air carriers or non-air carriers, like Xtrordinair.

What is the difference between a Part 91 flight, Sub Part K fractional flight and a Part 135 flight?

From an FAA standpoint, the primary difference between the different types of flights relates to who has "operational" control of the flight and the requirements that must be met for each type of flight. FAA regulations establish different operating requirements for different types of flights, which, in this case, are found in 14 C.F.R. Parts 91 and 135. Fractional flights are operated under Part 91, Sub part K, which govern fractional programs.

For Part 91 and Part 91 K flights, the owner of the aircraft (or fractional owner) has operational control of the aircraft, which means that the owner, not the management company, is responsible for the actions of the flight crew, for aircraft operations, and for safety of flight. Part 91 flights, including fractional flights, may be operated by entities that are not "air carriers." The FAA reviews and approves fractional programs under Part 91, Subpart K.

Part 135 operations are operated by air carriers, and on these flights, the Part 135 operator, not the aircraft owner or passenger, is responsible for the flight crew, aircraft operations, and safety of flight. Part 135 operators have authority from both the FAA and DOT to operate.

Who is Xtrordinair?

Xtrordinair is a private jet, yacht, motor coach and resort property Membership company. Xtrordinair does not sell fractional ownership. Xtrordinair provides access to a range of other aviation, yachting, motor coach and resort property solutions, such as pre-paid card programs operated by certificated U.S. air carriers, charter brokerage services, and whole aircraft management under FAA Part 135, or any other US Regulatory body such as the USCG. While providing our members and customers world-class aviation solutions and programs, Xtrordinair is not an air carrier, yacht carrier or motor coach carrier and does not provide air transportation, yacht transportation or motor coach transportation services for compensation or hire.

Who is XcellentSeas?

XcellentSeas is a registered dba of Xtrordinair who is a private jet, yacht, motor coach and resort property Membership company. Xtrordinair or XcellentSeas does not sell fractional ownership. Xtrordinair and XcellentSeas provides access to a range of other aviation, yachting, motor coaching and resort property solutions, such as card programs operated by certificated U.S. air carriers, charter brokerage services, and whole aircraft management under FAA Part 135, or any other US Regulatory body such as the USCG. While providing our members and customers world-class aviation solutions and programs, Xtrordinair and XcellentSeas are not an air carrier, yacht carrier or motor coach carrier and does not provide air transportation, yacht transportation or motor coach transportation services for compensation or hire.

 

What aircraft are used for the charter brokerage service programs?

These flights are operated by a select network of certificated Part 135 operators, not Xtrordinair. Each of these operators is responsible for providing and operating its own aircraft. In these cases, Xtrordinair acts as the agent for the customer in arranging for air transportation on a certificated carrier. Xtrordinair's standards for selecting air carriers to provide transportation include certain aircraft and pilot requirements to ensure conformance with Xtrordinair's high customer service and safety standards. However, Xtrordinair does not provide the aircraft or pilots for these services, nor does Xtrordinair direct or control the providers' use of pilots or aircraft. Operational control of these flights is maintained by the individual carriers.

What is a Customer Account Manager (CSR)?

A Xtrordinair or XcellentSeas Customer Service Representative ("CSR ") is a dedicated representative assigned to each X-series program member, handling everything from booking flights, yachts, motor coach, resort vacations or hunts and coordinating catering requests to managing ground transportation, and checking weather conditions for the passengers the day of the trip. After each flight, or trip CSRs follow up to ensure the entire travel event was flawlessly executed and to personally address any concerns. These CSR's are also equipped to handle billing as well as recommend ways for customers to extract even more value from their fractional program.

All International flights outside the Primary Service Area (the "PSA") are subject to repositioning cost, and international fee's, taxes, flight permitting and flight planning cost.

Xtrordinair and its affiliate XcellentSeas© arranges yachting charters and excursions on behalf of Xtrordinair members and non-members with yachts contracted for use, leased, rented, chartered, or owned by Xtrordinair, or other affiliated entities and operated by entities that always exercise full operational control as a charter. Supplemental yacht charters will be operated by licensed and bonded Charter providers that have been approved to provide service for Xtrordinair, that meet all US Coast Guard Requirements and other governmental requirements of the country under which they are flagged and must meet all customs requirements at each point of entry. In addition, the supplemental Charter providers must be recognized by rated agencies for their safety, training, and quality of service before consideration for any XcellentSeas© program operations or for any Xtrordinair member or non-member requesting on-demand charter services.
